Terms of Service

These Terms of Service ("Terms") govern the use of Morello ("Morello," "we," "us," "our"), a product owned and operated by Morello Apps Ltd (Company No. 14535627), registered in England and Wales. Our registered business address is 107 Fore Street, Hertford, SG14 1AS. By accessing or using Morello, you agree to be bound by these Terms.

1. General Information

1.1. Company & Jurisdiction

Morello operates primarily in the United Kingdom, but may provide services to overseas and international customers. Users outside of the United Kingdom must ensure compliance with local laws when using or accessing our services.

2. User Accounts & Responsibilities

2.1. Account Registration

A user account is required to access Morello. Primary user accounts are configured by the Morello team during project onset. Primary users can later create additional user accounts via the Morello admin site.

2.2. Account Sharing

Users are encouraged to create multiple user accounts for different team members or departments, assigning appropriate permissions.

2.3. User Responsibilities

Users must keep their login credentials confidential and not share them with unauthorised persons, and must notify us immediately at support@morellocms.com if they suspect unauthorised access to their account. Further, users are responsible for all activity occurring under their account, and must ensure that any content uploaded complies with these Terms and applicable laws.

3. Services & Availability

3.1. Core Offerings

Morello provides CMS-backed websites and subscription plans that include hosting, an SSL certificate, daily backups, uptime monitoring, and lifetime feature and security updates for the duration of an active subscription. Optional services include a Content Kit (AI-assisted copywriting, visual asset curation, and content integration) and a
Theme+ package (CSS customisation by the Morello team).

3.2. Subscription Model

Morello operates on a subscription basis with no free trial period.

3.3. Service Availability

While we strive for maximum uptime, Morello does not guarantee an uninterrupted service, as hosting is provided by third-party servers. Over the past 12 months, EU and US servers have maintained over 99.9% uptime.

3.4. Service Limits and Scope

All plans include a pre-built page cap, subject to the user's current plan and agreed project specification. Pre-built pages are defined as the ready-to-use template pages configured by the Morello design team.

Plan personalisation includes general theme settings and styling (typography and colour scheme configuration) only.

The AI-assisted copywriting element offered as part of the Content Kit package includes a 500 words-per-page cap (excluding Enterprise+) subject to the agreed project specification.

4. Content & Intellectual Property

4.1. User Content Ownership

Users retain full copyright over content uploaded to their Morello website. However, Morello reserves the right to use screenshots of publicly accessible webpages created with our platform for marketing purposes.

4.2. Morello-Owned Content

Morello retains ownership of all design, copy, and visual assets created by our team as part of all Morello Plans, Content Kits, or Theme+ packages. All AI-assisted content created using AI tools (e.g., ChatGPT, Claude) remains under Morello’s ownership where delivered as part of our service. Any licensed visual assets are provided under our commercial licenses and may not be used outside the Morello platform.

4.3. Prohibited Content & Conduct

Users must not: upload, distribute, or engage in activities that contain hate speech, racism, or discrimination against any individual or group; include child pornography, sexually exploitative material, or non-consensual explicit content; Promote violence, terrorism, or illegal activities; violate intellectual property rights of any third party; engage in fraudulent, deceptive, or misleading practices; perform any other action that disrupts the platform's integrity or security.

Violation of this policy may result in immediate suspension or termination, and where applicable, reporting to relevant authorities.

4.4. Source Code Ownership

The source code of all Morello websites remains the exclusive intellectual property of Morello Apps Ltd. Under no circumstances will the source code be released, licensed, or transferred.

5. Payments & Billing

5.1. Billing Structure

Morello Plan subscriptions are billed in two instalments: 50% deposit payable in advance, and 50% upon Plan completion. Plan subscriptions are billed monthly on the 1st and renew automatically each month.

5.2. Refunds & Cancellations

Morello subscriptions are a combination of digital products and services. While we are not required to offer refunds under UK distance selling regulations, refunds may be considered at our sole discretion in cases where services have not been rendered. Users wishing to cancel their subscription must provide 30 days' written notice before their next billing cycle.

5.3. Payment Methods

Subscriptions: Bank transfer or card payment via Stripe (Visa, Mastercard, American Express, other).

One-time services (Plans, Content Kits & Theme+ packages): Bank transfer.

6. Account Termination

6.1. Violations Leading to Suspension and Termination

We may suspend or terminate accounts for prohibited content violations (see Section 4.3), non-payment of Plan or Plan Subscription fees, or any other action deemed harmful to the Morello platform.

6.2. User-Initiated Termination

Users wishing to close their account must contact support@morellocms.com. Further, users understand that account termination is not automatic and user-initiated termination will be actioned during regular office hours.

6.3. Insolvency & Liquidation

In the event that a user becomes insolvent or enters liquidation, Morello reserves the right to immediately terminate all contracted products and services and invoice for the full value of all products and services rendered.

7. Limitations of Liability

7.1. Liability Disclaimer

Morello is not liable for any loss of data, business interruption, or financial loss resulting from service downtime, security breaches, or other factors beyond our control.

7.2. Indemnity Clause

Users agree to indemnify Morello Apps Ltd from any claims, damages, or liabilities resulting from:

Any content uploaded, shared, or distributed via Morello.

Any misuse of the platform.

7.3. Service Delivery

Morello does not accept liability for any delays in the delivery of products and services, including but not limited to unforeseen circumstances, third-party dependencies, client-side delays, or other factors beyond our control.

7.4. Third-Party Service Interruptions

Morello accepts no liability for any interruptions, terminations, or failures of third-party services, including but not limited to those delivered by internet service providers or web hosting companies contracted by Morello.

7.5. User Data Responsibility

It is the responsibility of the user to retain a copy of all content and data uploaded to their Morello website. In the unlikely event of a technical failure or data loss, it is the user's responsibility to resupply or reupload content and data to their Morello website.

7.6. Modifications to Services

Morello reserves the right to modify, update, or discontinue any aspect of its products and services at its discretion, with or without notice, in order to improve the platform or adapt to technical or business requirements.

8. Governing Law & Dispute Resolution

These Terms are governed by English law.

8.2. Dispute Resolution

Users must first attempt to resolve disputes informally by contacting support@morellocms.com. If unresolved, disputes shall proceed to mediation, with costs shared equally by both parties. If mediation fails, disputes shall be settled in the courts of England and Wales.

9. Changes to Terms

9.1. Notification of Changes

We will notify users of updates to these Terms via email and provide a link to the revised document.

9.2. User Agreement

Continued use of Morello after changes to Terms constitutes acceptance of the new Terms.

9.3. Feedback and Suggestions

Any feedback, suggestions, or ideas submitted by users regarding Morello or its products and services may be used by Morello without restriction or obligation to compensate the user.
